Terms of Service
These terms govern your use of InChat. We've kept them readable — if anything is unclear, email team@inchat.ai and we'll explain it in plain English.
1. Acceptance of Terms
By creating an InChat account, accessing the InChat dashboard, or installing the InChat widget on any website, you ("Customer", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you're accepting these Terms on behalf of a company or other organization, you represent that you have the authority to do so, and "you" refers to that organization.
If you do not agree to these Terms, you must not use InChat. We reserve the right to update these Terms at any time; material changes will be communicated to you by email before taking effect.
2. Description of Service
InChat is a software-as-a-service platform that provides an AI-powered live chat widget for websites. The core service includes:
- An embeddable JavaScript chat widget you can install on any website via a single script tag
- An AI agent that learns from your website content and uploaded documents to answer visitor questions
- A team inbox for managing conversations, including human handoff from AI to human agents
- Analytics and visitor tracking tools to understand your chat performance
- Proactive trigger rules, canned responses, and knowledge base management tools
The specific features available to you depend on your subscription plan. We may add, modify, or remove features over time. We'll provide reasonable advance notice for any changes that significantly reduce functionality on paid plans.
3. Account Registration and Responsibilities
Account Creation
To use InChat, you must create an account with a valid email address and verify that email address. You may be required to provide a team name and billing information depending on the plan you choose. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
Account Security
You are responsible for maintaining the confidentiality of your account credentials. You must not share your login details with anyone outside your authorized team, and you must notify us immediately at team@inchat.ai if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to keep credentials secure.
Authorized Users
Depending on your plan, you may invite team members ("operators") to access your InChat workspace. You are responsible for the actions of all operators you add to your team. Operators must also agree to these Terms. You may not share a single operator account across multiple individuals — each person who accesses InChat must have their own account.
Account Requirements
You must be at least 18 years old to create an InChat account. By registering, you confirm that you meet this requirement.
4. Acceptable Use
InChat is provided for legitimate business and professional purposes. You agree not to use InChat to:
- Violate any applicable law or regulation, including data protection laws
- Harass, threaten, or harm visitors or other users
- Collect sensitive personal data (such as payment card numbers, government ID numbers, or passwords) through the chat widget
- Train your AI agent on content you do not have the right to use
- Attempt to reverse-engineer, decompile, or extract source code from the InChat widget or platform
- Resell, sublicense, or white-label InChat beyond what is explicitly permitted under your plan
- Use InChat to send spam or unsolicited commercial messages
- Attempt to gain unauthorized access to InChat's systems or other customers' data
- Use InChat in a manner that places an unreasonable or disproportionate load on our infrastructure
- Use the service to facilitate illegal gambling, adult content distribution, weapons sales, or other regulated activities without appropriate licenses
We reserve the right to suspend or terminate accounts that we reasonably believe are in violation of this acceptable use policy, with or without prior notice depending on the severity of the violation.
5. Your Content and Data
Ownership
You retain full ownership of all content you submit to InChat — including website content used for AI training, uploaded documents, conversation records, and any other data you provide. These Terms do not transfer any intellectual property rights from you to us.
License to InChat
By submitting content to InChat, you grant us a limited, non-exclusive license to process, store, and use that content solely for the purpose of providing the InChat service to you. This includes crawling your website to train your AI agent, generating AI responses using your content, and displaying conversation data in your dashboard. We do not use your content to train shared AI models or to improve InChat for other customers.
Your Responsibility for Visitor Data
When you install InChat on your website, your website's visitors will interact with the chat widget. You are the data controller for your visitors' personal data. You are responsible for:
- Disclosing the use of InChat and its data collection practices in your website's privacy policy
- Obtaining any consents required by applicable law before collecting visitor data through InChat
- Ensuring your use of InChat complies with GDPR, CCPA, and any other applicable data protection regulations
- Responding to visitor requests for access, correction, or deletion of their personal data
InChat processes visitor data on your behalf as a data processor. We will assist you in meeting your obligations where we have the technical ability to do so.
6. Payment Terms
Free Tier
InChat offers a free tier with limited usage (50 AI conversations per month, 1 operator, InChat branding on the widget). No credit card is required for the free tier. We reserve the right to modify or discontinue the free tier with reasonable advance notice.
Paid Plans
Paid plans are billed either monthly or annually, as selected at signup or changed in your billing settings. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. All prices are listed in USD and are exclusive of any applicable taxes.
Annual plans are billed as a single payment at the beginning of each billing year. Monthly plans are billed at the beginning of each calendar month. Prices shown on our pricing page are the amounts you will be charged — there are no hidden fees.
Payment Failures
If a payment fails, we will attempt to retry the charge up to three times over a period of several days. If the charge cannot be collected, your account will be downgraded to the free tier. You will retain access to your data but AI conversations and premium features will be limited until payment is resolved.
Taxes
You are responsible for any applicable taxes on your subscription (VAT, GST, sales tax, etc.). Where required by law, InChat will collect and remit these taxes. Your invoices will show any applicable tax amounts.
7. Refund Policy
Monthly Plans
Monthly subscriptions are non-refundable. If you cancel a monthly plan, you retain access to paid features until the end of the current billing period. No partial-month refunds are issued.
Annual Plans
If you cancel an annual plan within 14 days of your initial subscription or annual renewal, you may request a pro-rated refund for the remaining unused months. After 14 days, annual subscriptions are non-refundable. Refund requests must be submitted to team@inchat.ai.
Exceptions
If InChat experiences a significant, extended outage or fails to deliver the core service due to our error, we will consider refund or credit requests on a case-by-case basis. Decisions are at our discretion.
8. Plan Limits and Overages
Each InChat plan includes specific usage limits (AI conversations per month, number of team members, websites, file storage). If you reach a plan limit:
- AI conversation limits: the AI agent will stop generating new responses and will show a message directing the visitor to contact you directly. The chat widget remains visible and functional for human agents.
- Team member limits: you will not be able to invite additional team members until you upgrade your plan or remove an existing member.
- Storage limits: you will not be able to upload new training files until you remove existing files or upgrade your plan.
We do not automatically charge for overages. Your service is soft-limited rather than billed additionally. To increase your limits, upgrade your plan at any time from the billing settings in your dashboard.
9. Intellectual Property
InChat's IP
InChat and all related software, design, trademarks, and content (excluding your submitted content) are owned by InChat and protected by intellectual property law. These Terms do not grant you any rights in InChat's intellectual property beyond the limited right to use the service as described here.
Feedback
If you provide us with feedback, suggestions, or ideas about InChat, you grant us the right to use that feedback without restriction or compensation. You won't submit feedback that is confidential or subject to third-party intellectual property rights.
Widget Embed Code
The InChat widget embed code is provided to you for installation on websites you own or have permission to modify. You may not modify the widget code in ways that remove attribution, bypass license verification, or alter widget behavior in unauthorized ways.
10. Service Availability and SLA
We aim to keep InChat available at all times, but we do not guarantee uninterrupted availability. We target 99.9% uptime for the chat widget and dashboard, measured monthly. Scheduled maintenance windows (which we'll announce in advance) do not count against this target.
Pro and Enterprise plan customers receive priority support and, where applicable, formal SLA terms as agreed during onboarding. Free and Starter plan customers receive best-effort availability without formal SLA commitments.
11. Limitation of Liability
To the maximum extent permitted by applicable law, InChat's total liability to you for any claims arising from these Terms or your use of the service shall not exceed the amount you paid to InChat in the 12 months preceding the claim.
In no event shall InChat be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of data, business interruption, or loss of goodwill — even if we have been advised of the possibility of such damages.
These limitations apply regardless of the legal theory under which the claim is brought (contract, tort, negligence, strict liability, or otherwise) and shall apply even if any remedy fails of its essential purpose.
12. Disclaimer of Warranties
InChat is provided "as is" and "as available" without any warranties of any kind, either express or implied. We disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that InChat will meet your specific requirements, that it will be error-free or uninterrupted, that defects will be corrected, or that the AI agent will provide accurate responses in all cases. AI-generated responses are generated automatically and may occasionally be incorrect — you are responsible for monitoring the accuracy of your AI agent's responses.
13. Termination
By You
You may cancel your InChat account at any time from your billing settings. Cancellation takes effect at the end of your current billing period (for monthly plans) or immediately (if you're on the free tier). After cancellation, we will delete your account data as described in our Privacy Policy.
By InChat
We reserve the right to suspend or terminate your account for any of the following reasons:
- Violation of these Terms or our Acceptable Use Policy
- Non-payment of fees after a grace period
- Legal or regulatory requirement to do so
- Conduct that causes harm to other users or to InChat's infrastructure or reputation
For serious violations (illegal activity, security threats), we may terminate immediately without notice. For less severe issues, we will generally give you notice and an opportunity to remedy the situation before termination. If we terminate your account without cause, we will refund any prepaid fees for the unused portion of your subscription.
Effect of Termination
Upon termination, your right to use InChat ends immediately. Your chat widget will stop functioning on your websites. We will retain your data for 30 days post-termination to allow you to export it, after which it will be permanently deleted (except for billing records required for legal compliance).
14. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with applicable laws. For customers located in the European Union, mandatory consumer protection laws of your country of residence may apply and are not affected by this clause.
Before initiating any legal proceeding, you agree to first contact us at team@inchat.ai and give us a reasonable opportunity to resolve the dispute. Most issues can be resolved quickly through direct communication.
15. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and InChat regarding your use of the service and supersede all prior agreements, representations, or understandings.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. No waiver of any term shall be effective unless in writing and signed by an authorized representative of InChat.
Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
